By accessing or using the ExecutESG OS platform ("Service") operated by ExecutESG Oy ("ExecutESG", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

ExecutESG Oy provides a B2B Software-as-a-Service (SaaS) platform designed to assist organizations in ESG management, including Double Materiality Assessments (DMA), ESME reporting, and Strategic Action Planning. The Service is made available on a subscription basis pursuant to the selected pricing tier.

3. Subscriptions and Billing

• Subscription Tiers: We offer various subscription tiers (e.g., VSME Free, VSME Pro, DMA Suite, Full OS). The features and usage limits applicable to your subscription are defined on our Pricing page.
• Billing Cycle: You will be billed in advance on a recurring and periodic basis (monthly or annually) depending on the plan you select.
• Payment: A valid payment method is required to process non-free tier subscriptions. By submitting payment information, you authorize ExecutESG to charge all subscription fees incurred to your designated payment instrument.
• Fee Changes: We may modify subscription fees at any time, providing reasonable prior notice. Changes will become effective at the end of the then-current billing cycle.

4. Client Data and Privacy

When utilizing the Service, you retain all rights to the data, information, and materials you upload ("Client Data"). You grant us a non-exclusive license to process Client Data strictly for the purpose of providing the Service. Our processing of personal data contained within Client Data is governed by our Privacy Policy and a separate Data Processing Agreement (DPA) required under the GDPR, prioritizing the security and confidentiality of your information.

5. Intellectual Property

The Service and its original content (excluding Client Data), features, methodology, AI categorization mapping logic, and functionality are and will remain the exclusive property of ExecutESG Oy and its licensors. Our intellectual property may not be used in connection with any product or service without our prior written consent.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable national or international law or regulation.
• Infringe upon the rights of others, including intellectual property or privacy rights.
• Transmit any virus, malware, or other malicious code.
• Attempt to gain unauthorized access to, interfere with, or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or extract the source code or underlying methodologies of the platform.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ExecutESG Oy, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; and (iii) unauthorized access, use, or alteration of your transmissions or content.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us, subject to the conditions of your specific subscription agreement.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Helsinki, Finland.
